1. Acceptance of Terms
By accessing or subscribing to the Cycles platform, your organization confirms it has read and accepted these Terms. If you represent a healthcare organization, you confirm you have authority to bind that organization.
If you do not agree to any part of these Terms, please discontinue use of the platform and contact us to discuss alternatives.
2. Service Description
Cycles is a Saudi healthcare Revenue Cycle Management platform providing claims automation, NPHIES integration, executive dashboards, exception management, and the RCM Copilot assistant.
Services are delivered according to the package and scope agreed upon in the signed subscription agreement.
3. Client Obligations
Provide accurate and up-to-date information to ensure correct integration and data quality.
Use the platform for lawful purposes within the Saudi healthcare regulatory framework.
Notify Cycles immediately upon discovering any unauthorized access or security incident.
Ensure that designated users are trained and authorized to handle Revenue Cycle data.
4. Subscription and Payment
Pricing model and payment terms are defined in the separate subscription agreement between both parties.
The subscription is active from the agreed go-live date and renews per the agreed terms.
In the event of payment delay, Cycles reserves the right to suspend service following prior notice.
5. Intellectual Property
All intellectual property rights related to the platform, algorithms, and integration mechanisms remain with Cycles.
Subscribing does not grant the client any ownership rights in the platform or its components.
The client's operational data remains their property. Cycles commits to using it only within the agreed scope of service.
6. Limitation of Liability
The platform is provided in accordance with the SLA levels agreed upon in the contract.
Cycles is not liable for losses arising from: inaccurate data entered by the client, third-party system failures (including NPHIES), or operational decisions made by the client based on platform outputs.
The total liability of Cycles to the client is capped as specified in the subscription agreement.
7. Confidentiality
Cycles is committed to maintaining the confidentiality of all operational data and commercial information provided by the client.
Both parties commit not to disclose confidential information to third parties without prior written consent or legal obligation.
8. Termination
Either party may terminate the service in accordance with the notice terms specified in the subscription agreement.
Upon termination, the client's operational data will be made available in the format specified in the offboarding process.
9. Governing Law
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
Disputes will first be resolved through good-faith negotiation. If unresolved, they will be referred to the competent judicial authorities in the Kingdom.
